Board of Directors

The Board of Directors consists of 6 members and 3 alternate members with a 1 year term.

All board members and officers of São Carlos have signed a consent term and are personally liable to act in accordance with the Adhesion to the BM&F Bovespa’s Novo Mercado, the Rules of the markets’ Chamber of Arbitration and with the Rules of BM&F Bovespa’s Novo Mercado of corporate governance.

São Carlos’ management compensation is aligned with shareholders‘ interests, through a combination of variable compensation by achieving a set of performance goals, and a Stock Options Plan (Portuguese only).

Rolando Mifano (Chairman) - Mr. Mifano was Chief Executive Officer and Chairman of the Board of Directors of São Carlos Empreendimentos e Participações S.A. until January 2012, when he left the position of CEO, while remaining Chairman of the Board of Directors. Before that, he was a Real Estate Credit at Comind from 1970 to 1985, and worked in Unibanco as Real Estate Investment Superintendent in 1985 and 1986. Mr. Mifano moved to Carrefour in 1987, where he held the position of Development and Expansion Officer for Latin America until his move to São Carlos in 1999. He holds a bachelor’s degree in Business Administration from the Getúlio Vargas Foundation of São Paulo and participated in information technology courses at the National des Arts et Offices, in Paris, France.

Jorge Felipe Lemann (Member) - Mr. Jorge Felipe Lemann completed the OPM program at Harvard Business School. He is a member of the Advisory Board of the Security Traders’ Association (Adeval) and member of the Board of Directors of São Carlos Empreendimentos e Participações S/A and B2W - Companhia Digital. In 2003, he founded Flow Corretora de Câmbio, Títulos e Valores Mobiliários S/A and Flow Corretora de Mercadorias Ltda., which after merged its activities into those of Brasil Plural multiple bank. Previously, he had worked since the 90s in the financial and auditing institutions Price Waterhouse Coopers as an assistant auditor; in Célio Pelajo CCV as a junior client operator; in Ativa S/A CCTV as a market trader; in Banco Matrix as a trainee; in Andrade Gutierrez as a project manager; in Unibanco Corretora as a special account operator; and in Link CCTVM as partner responsible for the international area.

Abram Abe Szajman (Independent Member) - Born in July 1939, he graduated in Accounting from Escola de Comércio Álvares Penteado (FECAP). Mr. Abram Szajman is Chairman of the Board of Directors of Grupo VR; President of São Paulo State Trade Federation of Goods, Services and Tourism (Fecomercio SP), President of São Paulo State Trade Center (Cecomercio SP), President of the Regional Councils of SESC and SENAC-SP; VP of National Federation of Commerce (CNC), and a Member of the Brazilian Small Business Support Service (SEBRAE SP). Previously, he was active in trade associations and community action organizations, and has received many honors and honorary citizenships. He has been a member of the Board of Directors of São Carlos Empreendimentos since May 2011.

Mr. Claudio Garcia (Alternate) focused his professional activity on management roles related to Ambev S.A. (between 1991 and 2003) and Anheuser-Busch InBev S.A. SA/NV (Belgium) (between 2004 and 2017). Mr. Garcia joined Ambev S.A. as a trainee in 1991 and worked as Corporate Budget Manager (1998-2001), Brewery Manager (2001) and Chief Information and Shared Services Officer (2001-2003). Mr. Garcia worked at Anheuser-Busch InBev S.A. as Chief Information and Business Services Officer (2004-2006), Chief People and Technology Officer (2007-2013) and Chief People Officer (2014-2017). He recently founded the Garcia Family Foundation, a philanthropic foundation that promotes projects related to culture, education and art.

Manager of the Poland FIA fund since 2003, where he accomplished a history of profitability considerably above the main benchmarks. Graduated in Economics from Universidade de São Paulo.

Claudio Abe Szajman (Alternate) - Claudio Szajman has a degree in Economics from Mackenzie University (1996). He worked as a capital markets operator, credit manager and special operations manager at Banco VR from 1987 to 1994, was the Commercial Vice President of Grupo VR from 1994 to 2000, and Chairman of the Board of Directors of Grupo VR since 2000. In addition, he sat on the Board of the American Chamber of Commerce (AMCHAM); was the Vice Chairman and member of the Board of Directors of Hospital Albert Einstein; and was member of Insead‘s Board for Latin America. Mr. Szajman has been an alternate member of the Board of Directors of São Carlos Empreendimentos since May 2011.
